**Council Operations**
- Weekly operations sync (virtual)
- Monthly strategic review
- Quarterly financial review
- Annual planning retreat
- Rotating facilitation among Managers
**Decision-Making**
- **Consensus Preferred:** Managers seek alignment on decisions
- **Voting:** When consensus not reached, simple majority decides
- **Abstention:** Managers may abstain with documented reason
- **Conflict of Interest:** Managers recuse from decisions where conflicted
- **Documentation:** All decisions recorded with rationale
**Scope of Authority**
Manager Council may decide without Assembly approval:
- Operational expenditures within approved budget
- Project approvals within resource capacity
- Operator appointments

Assembly approval required for:

- Third Manager unavailable after reasonable effort

- Emergency decisions reported to membership within 7 days
